Organizer Agreement

Last Updated: July 2026

This Organizer Agreement ("Agreement") governs the relationship between Odufa Technologies Ltd. ("Odufa", "we", "our", or "us"), owner and operator of the Ochuwa platform, and any individual or organization ("Organizer", "you", or "your") that creates, manages, promotes, or monetizes events through the Ochuwa platform.

By creating or managing an event on Ochuwa, you agree to comply with this Agreement, our Terms of Use, Privacy Policy, Community Guidelines, and all applicable laws.

1. Eligibility

To organize events on Ochuwa, you must:

  • Be at least 18 years old or legally authorized to act on behalf of an organization.
  • Provide accurate registration information.
  • Maintain an active Ochuwa account.
  • Complete identity verification where required.
  • Comply with all applicable laws and regulations.

Organizations may be required to provide additional documentation before certain platform features become available.

2. Organizer Responsibilities

As an Organizer, you are responsible for:

  • Creating accurate event listings.
  • Providing truthful descriptions and promotional materials.
  • Managing event schedules and venues.
  • Communicating changes to attendees.
  • Managing contestants, nominees, judges, volunteers, or speakers where applicable.
  • Delivering the event as advertised.
  • Complying with all applicable laws, permits, and licensing requirements.

You remain solely responsible for the operation and delivery of your event.

3. Identity Verification (KYC)

Before receiving payouts, Organizers may be required to complete identity verification. Verification may include:

  • Business or Organizer name.
  • Government-issued identification.
  • Bank Verification Number (BVN).
  • National Identification Number (NIN).
  • Corporate Affairs Commission (CAC) documents, where applicable.
  • Verified bank account.
  • Selfie or liveness verification.
  • Additional documentation where required by law or our risk policies.

Ochuwa reserves the right to request additional verification at any time.

4. Payments, Escrow & Settlements by Revenue Stream

Payments collected through Ochuwa are processed on behalf of the Organizer. To maintain platform integrity, consumer safety, and compliance with anti-fraud guidelines, settlements are segregated and disbursed by revenue stream:

a. Event Ticketing & Contestant Registrations (Escrow Protected)

All ticket sales, attendee fees, and contestant entry/registration fees are held in platform escrow until the scheduled event has concluded plus a safety clearance buffer (typically 24 to 48 hours). Organizers cannot withdraw ticket or registration funds prior to event delivery, ensuring attendee and contestant funds remain fully protected in the event of cancellation or abandonment.

b. Voting Campaigns (Exempted Live Operations)

Public voting revenue represents real-time digital consumption services that immediately adjust live contestant rankings on the leaderboard. Voting proceeds are exempted from post-event escrow lockup and are settled on a rolling daily (T+1) schedule to provide organizers with working capital to operate and market ongoing campaigns.

c. Donation & Crowdfunding Campaigns

Donation proceeds are voluntary contributions intended for the specific charitable cause or community project advertised by the Organizer. Donations are settled on a rolling daily (T+1) schedule or upon campaign conclusion. By initiating a donation campaign, the Organizer legally covenants and warrants that 100% of net donations will be utilized exclusively for the declared purpose. Ochuwa reserves the right to audit fund deployment, freeze pending disbursements, and request receipts or proof of execution.

d. Early Production Advance Payouts

Identity-verified Organizers (Tier 2+ KYC) in good standing may request an Early Production Advance of up to 50% of cumulative ticket revenue ahead of the event date strictly for venue hire and production expenses. Granting an advance is at Ochuwa's sole risk discretion.

Net proceeds are transferred only to the Organizer's verified Nigerian commercial bank account. Ochuwa reserves the right to withhold settlements or place rolling reserves in the event of active chargeback disputes, fraud alerts, or compliance inquiries.

5. Platform Fees

By listing an event, you authorize Ochuwa to deduct applicable fees before settlement. These may include:

  • Platform service fees.
  • Payment processing fees.
  • Transfer charges.
  • Applicable taxes.
  • Optional premium services selected by the Organizer.

Current pricing is available on our Pricing page and may be updated from time to time.

6. Refunds, Cancellations & Organizer Clawback Liability

Organizers are responsible for delivering events as advertised. In the event of changes, cancellations, or postponements, the following terms apply:

  • Cancellation of Event: If an event is cancelled, Ochuwa will automatically issue full refunds to all ticket buyers and contestant registrants using the funds held in escrow.
  • Postponement & Rescheduling: If an event is postponed or rescheduled, attendees are entitled to an opt-in refund window (minimum 7 days) if they cannot attend the new date.
  • Organizer Deficit & Clawback Indemnity: If an Organizer cancels, postpones indefinitely, or fails to stage an event after having withdrawn funds (via Early Production Advance, rolling voting payouts, or donations), the Organizer is strictly, personally, and unconditionally liable to repay the entire refund deficit and any associated gateway chargeback fees to Odufa Technologies Ltd within five (5) business days of notice.
  • Right of Setoff & Legal Recourse: Ochuwa reserves the absolute right to set off any outstanding refund deficits against other active or future events managed by the Organizer, apply negative balances to the Organizer's wallet, and initiate civil litigation, formal debt recovery, and law enforcement referral where fraud is suspected.
